LaunchPay™
Terms & Conditions

Last updated: 28 September 2026

Important: These terms are a commercial draft and should be reviewed and approved by a qualified Sri Lankan legal professional before commercial launch. They do not constitute legal advice, and the terms applicable to your project are those incorporated into your specific quotation and project agreement.

1. Definitions

  • “Zaptra”, “we”, “us” or “our” means Zaptra (Private) Limited, a subsidiary of TechZap Solutions (Private) Limited.
  • “Client”, “you” or “your” means the individual, business, company, startup, organization or other entity entering into an agreement with Zaptra.
  • “LaunchPay™” means Zaptra’s website payment instalment programme.
  • “Project” means the website design, development, e-commerce, CMS or related digital services specified in the approved quotation.
  • “Quotation” means the written quotation issued by Zaptra describing the agreed scope, price and payment schedule.
  • “Agreement” means the quotation, project agreement, LaunchPay™ terms and any other documents expressly incorporated into the agreement.

2. Programme availability

  • LaunchPay™ is currently available only to eligible clients operating in Sri Lanka.
  • LaunchPay™ availability is subject to Zaptra’s approval.
  • Submitting an application does not guarantee approval.
  • Zaptra may request additional information before approving a project.

3. Project pricing

The final project price is determined by the approved quotation.

Published website prices are starting prices and are not guaranteed final project prices.

Additional requirements, integrations, pages, functionality, content creation, third-party services, premium software, payment gateway integration, hosting requirements and other requirements may result in additional charges.

4. Payment structure

Unless otherwise specified in writing:

  • 30% of the agreed project price is payable upfront.
  • The remaining 70% is payable in equal instalments over either 3 months or 6 months.
  • The exact instalment amount and due dates will be stated in the approved quotation / payment schedule.

5. Upfront payment

Development will not commence until:

  • The required agreement has been accepted;
  • The required client information has been provided; and
  • The 30% upfront payment has been received and cleared.

6. Payment dates

Each instalment must be paid on or before the due date stated in the payment schedule.

The client is responsible for ensuring timely payment.

7. Late payment

If an instalment becomes overdue, Zaptra may provide a reasonable notice / grace period as specified in the project agreement.

Following expiry of the applicable grace period, Zaptra may, subject to the agreement and applicable law:

  • Suspend development;
  • Suspend access to relevant services;
  • Suspend hosting where applicable;
  • Delay delivery of outstanding work;
  • Withhold transfer of agreed ownership / licensing rights until amounts due are settled; and/or
  • Terminate the agreement following the applicable contractual process.

8. Website ownership

The agreement must clearly identify ownership. Unless otherwise agreed in writing, the client receives the agreed ownership / licensing rights to the final website deliverables only after all amounts due under the project agreement have been fully paid.

Until full payment:

  • Zaptra retains ownership of unpaid deliverables to the extent permitted by law;
  • The client may not reproduce, resell, transfer or commercially exploit unpaid deliverables outside the agreed arrangement.

This section must be reviewed by Sri Lankan legal counsel before launch.

9. Third-party services

The project may depend on third-party services including domain registrars, hosting providers, payment gateways, cloud services, plugins, APIs, email providers, analytics platforms, SMS providers, maps, stock photography, premium themes and software licences.

Third-party charges are not automatically included unless expressly stated in the quotation.

Third-party outages, price changes, policy changes or service discontinuation are outside Zaptra’s direct control.

10. Domain names

Where Zaptra provides domain registration, the domain registration arrangement, renewal responsibility and ownership must be stated in the quotation.

The client is responsible for providing accurate registration information. Domain availability cannot be guaranteed until registration is successfully completed.

11. Hosting

If hosting is included, the quotation must state the included hosting period and renewal terms.

Hosting does not necessarily remain free after the included period. Renewal charges must be communicated to the client.

12. Content

Unless copywriting / content creation is explicitly included, the client is responsible for providing accurate business information, product information, prices, images, logos, contact details, legal information, policies and other required content.

The client confirms that content supplied to Zaptra does not knowingly infringe third-party rights.

13. Client delays

Project timelines may be affected where the client delays content submission, feedback, approval, access credentials, domain access, hosting access, payment or third-party account setup.

Zaptra is not responsible for delays caused by client-side delays.

14. Revisions

Each quotation must define the included number of revision rounds. Requests outside the agreed scope may be quoted separately.

A revision is a modification to agreed work. A completely new design, new functionality or change of project direction may be treated as additional work.

15. E-commerce

E-commerce projects may require third-party payment gateways and external services. Zaptra does not guarantee:

  • Payment gateway approval
  • Banking approval
  • Merchant account approval
  • Delivery provider availability
  • Third-party API availability
  • Specific sales volume
  • Customer acquisition
  • Revenue

Zaptra’s role is to develop the agreed digital platform and integrations.

16. Business results disclaimer

Zaptra provides digital design, development and marketing services. Zaptra does not guarantee sales, leads, search rankings, revenue, customer numbers, conversion rates or business profitability unless a specific performance commitment is expressly stated in a separate written agreement.

17. Cancellation

The quotation / project agreement must define cancellation rights. The agreement should clearly state how amounts paid are treated if:

  • The client cancels before development begins;
  • The client cancels after development begins;
  • Zaptra terminates due to non-payment;
  • The project becomes impossible due to circumstances outside either party’s reasonable control.

The treatment of amounts paid is defined per project and reviewed by legal counsel — payments are not automatically described as non-refundable.

18. Suspension

Where permitted by the agreement and applicable law, Zaptra may suspend relevant services if the client fails to make required payments. Suspension may include website hosting suspension, development suspension, maintenance suspension, administrative access restrictions and delivery delays.

The exact consequences must be specified in the project agreement.

19. Data protection

Zaptra may collect and process information required to evaluate applications, prepare quotations, communicate with clients, deliver services, process payments, maintain records, provide customer support and meet legal and accounting requirements.

The website contains a separate Privacy Policy explaining applicable data handling practices.

20. Intellectual property

The project agreement must distinguish between client-owned materials (e.g. client logo, client-provided photographs, client trademarks, client-written content), Zaptra-owned materials (e.g. pre-existing frameworks, internal components, templates, reusable systems, internal tools, proprietary processes) and third-party materials (e.g. fonts, stock images, plugins, themes, libraries, APIs).

Ownership / licensing rights must be clearly defined in the agreement.

21. Liability

The final legal agreement will contain a limitation of liability clause appropriate to Sri Lankan law, determined by qualified legal counsel. No arbitrary liability limit is stated here.

22. Force majeure

Neither party will be treated as responsible for failure or delay caused by circumstances beyond reasonable control, subject to applicable law and the final agreement. Examples may include natural disasters, major infrastructure failures, internet outages, government restrictions, third-party service outages, cyber incidents, power failures and other events outside reasonable control.

23. Changes to terms

Zaptra may update general LaunchPay™ information and terms for future customers. However, the terms applicable to an already accepted project are governed by the version incorporated into that client’s agreement, subject to applicable law.

24. Governing law

The final agreement will identify the applicable law and dispute-resolution mechanism. This will be confirmed by qualified Sri Lankan legal counsel before commercial launch.

25. Entire agreement

The signed / accepted quotation, project agreement and incorporated terms constitute the agreement between Zaptra and the client regarding the relevant project, subject to the final legal wording.

26. Electronic acceptance

LaunchPay™ terms are accepted electronically against your specific quotation and project agreement — not by a generic click on this page. At the acceptance step you will be asked to confirm:

  • “I have read and agree to the Zaptra LaunchPay™ Terms & Conditions and the Project Agreement.”
  • “I confirm that the information I have provided is accurate and that I am authorized to enter into this agreement on behalf of the business where applicable.”

For your records, Zaptra records the acceptance details (name, email, date/time, agreement version, quotation number and project ID) and provides you with a copy of the accepted agreement.

Sri Lanka’s Electronic Transactions Act recognizes electronic contract formation; the exact implementation is still subject to legal review.
